Exclusive License Terms

This license grants a Company the exclusive right to use this Sound Recording in connection with a Master recording featuring an Artist's performance, recorded for or potentially included on the Artist’s upcoming release. The Company must deliver a Producer Agreement to Xavier Thompson (“Producer”) at least 30 days before the release. The agreement must include the following terms:

CREDIT

For the Master, Company shall ensure or make reasonable efforts to provide Producer credit as "Produced by XAVIER THOMPSON." This credit must appear in the liner notes of any record containing the Master, including the LP back cover (if applicable), metadata for electronic transmissions, and all Company-controlled print ads of half a page or larger featuring the Master.

ROYALTY

• Company shall pay or shall instruct and cause Distributor to pay to Producer a base rate of five percent (5%) of the PPD (Published Price to Dealer) in connection with the Master.

• Producer’s royalty shall be paid retroactively from Record One.

• Producer’s Royalty shall not be reduced by any amount payable to any third-party producers or mixers who perform additional services with respect to the Master. 

• In the event Company or Artist receives or is credited with any so-called 'Direct Monies' directly from third parties (e.g., SoundExchange) attributable to the Master, Company will pay, or shall instruct such third party to pay Producer 50% of the royalties allocated to the Artist's share of such Direct Monies. Company shall submit the irrevocable Letter of Direction as signed by Artist instructing SoundExchange to account directly to Producer 50% of Featured Artist’s share as a Creative Participant at the same time and subject to the same conditions pursuant to which SoundExchange accounts to Artist.

• In the event Company and/or Artist contract with any Featured Artist for the Master, Company and/or Artist shall obtain and submit a Letter of Direction that maintains an equal share of the Featured Artist's royalties and/or in favor of the Producer. In the event that SoundExchange does not directly account to Producer for its share of Direct Monies, Company shall account for and pay Producer their share of SoundExchange Direct Monies without regard to the recoupment status of Producer’s royalty account.
